Welcome to JobSite Recon. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JobSite Recon LLC, a New York limited liability company ("JobSite Recon," "we," "us," or "our") governing your access to and use of the JobSite Recon website, mobile application, and all related services (collectively, the "Platform"). By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Acceptance of Terms

By registering for an account, accessing, or using any part of the Platform, you agree to comply with and be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and all applicable laws and regulations. We reserve the right to modify these Terms at any time by posting updated terms on the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age and legally able to enter into binding contracts to use this Platform. By creating an account, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You must notify us immediately of any unauthorized access to or use of your account.

3.1 Profile Completion Requirements

During the registration process, you are required to complete your profile by providing your profession (selected from a predefined list of construction and trade occupations), years of experience, and your geographic location, including your country and, where applicable, your state or region and county. This information is necessary for the operation of the Platform's features and must be truthful and accurate. The country associated with your account determines where you may post ratings: you may look up ratings for addresses and businesses in any market the Platform supports, but you may only post a rating for an address or business located within your own registered country. If you relocate, you may update your country through your account settings. You may optionally provide a business name, phone number, biography (up to 250 characters), and select a profile banner. You may update your profile information at any time through your account settings.

4. Nature of Ratings and User Responsibility

The Platform allows registered contractors and tradespeople to post numeric ratings ("User Content") reflecting their firsthand experience at a jobsite address or with another trade business. Ratings on JobSite Recon describe jobsite conditions and professional working relationships — they are not about, directed at, or intended to identify specific homeowners, tenants, property owners, or individuals. The Platform supports exactly two types of User Content:

Both rating types consist solely of a numeric score. The Platform does not support tags, categories, written comments, or any other descriptive content accompanying a rating.

5. Platform Role and Section 230 of the Communications Decency Act

JobSite Recon LLC is a neutral technology platform. It provides a venue where registered contractors can share their own anecdotal jobsite and working-relationship experience as a numeric score. JobSite Recon LLC does not participate in, contribute to, or have any involvement whatsoever in the creation of individual ratings. The Platform has no editorial role in User Content. JobSite Recon LLC operates as an interactive computer service provider within the meaning of Section 230 of the Communications Decency Act, 47 U.S.C. § 230 ("Section 230"). In accordance with Section 230:

6. No Duty to Investigate

JobSite Recon LLC does not independently verify, investigate, or confirm the accuracy or truthfulness of any User Content posted on the Platform. Specifically, and without limitation:

7. Content Dispute, Fake Review Reporting, and Takedown Procedure

JobSite Recon LLC provides a formal process for any individual who believes that User Content on the Platform is inaccurate, fraudulent, or otherwise harmful. This procedure is provided as a courtesy and does not impose any obligation upon JobSite Recon to remove, modify, or investigate User Content.

7.0 Reporting a Rating You Believe to Be Fake or Fraudulent

If you are a registered user and you believe a rating posted on the Platform is fake, fabricated, coordinated, or otherwise fraudulent — meaning it was not posted by someone with a genuine firsthand connection to the address or business rated — you may report it through either of the following methods:

If you are concerned about a rating and want it taken down, email support@jobsiterecon.com with the subject line "Rating Takedown Request." JobSite Recon will review all takedown requests and respond within a reasonable timeframe. Submission of a takedown request does not guarantee removal. See Section 7.1 below for the full formal complaint process.

7.0.1 Automated Author-Verification Process

This is the Platform's sole review-dispute mechanism. When a rating is reported through in-app flagging, the Platform initiates an automated verification process directed at the user who posted the rating (the "Author"). This process is automated and does not, by itself, constitute a determination by JobSite Recon regarding the accuracy or merit of the reported rating. This process verifies only whether the Author has a genuine connection to the address or business rated — it does not evaluate, and JobSite Recon takes no position on, whether the numeric score itself is fair or accurate.

This automated process operates independently of, and in addition to, the discretionary and formal complaint procedures described in Sections 7.1 through 7.4. An Author's confirmation that they stand by a rating does not prevent any person from submitting a formal content complaint under Section 7.1, and does not limit JobSite Recon's discretion under Section 7.4. JobSite Recon may modify, suspend, or discontinue the automated verification process at any time without notice.

7.1 Filing a Content Complaint

Any person who believes they are the subject of User Content that is false, fraudulent, or otherwise violates these Terms or applicable law may submit a written complaint to support@jobsiterecon.com with the subject line "Content Dispute." The complaint must include:

If User Content is removed or restricted as a result of a complaint, the user who posted the content will be notified and may submit a counter-notice to support@jobsiterecon.com within ten (10) business days. The counter-notice must include:

Upon receipt of a valid counter-notice, JobSite Recon will review the counter-notice and make a final determination at its sole discretion within ten (10) business days. JobSite Recon's determination is final and not subject to appeal through the Platform.

7.4 No Obligation

Nothing in this Section 7 obligates JobSite Recon LLC to remove, retain, or modify any User Content, or to resolve disputes between users or between users and third parties. JobSite Recon LLC retains absolute discretion over all content moderation decisions, including the discretionary removal described in Section 9.1. The existence of this procedure does not create any additional liability for JobSite Recon LLC or alter the protections afforded under Section 230 of the Communications Decency Act.

8. Disclaimer of Endorsement and Platform Neutrality

JobSite Recon LLC does not endorse, recommend, adopt, ratify, or guarantee the accuracy of any rating or User Content on the Platform. The presence of a rating on the Platform does not constitute an endorsement, approval, or adoption of that content by JobSite Recon LLC. JobSite Recon LLC is a neutral platform provider with no opinion on, and no involvement in, the substance of any individual rating. Users rely on User Content entirely at their own risk. JobSite Recon LLC expressly disclaims any and all liability arising from any user's or third party's reliance on ratings or other User Content found on the Platform. Any grievance regarding the content of a specific rating must be directed to the individual user who posted it — not to JobSite Recon LLC.

9. Moderation Practices and Safe Harbor

JobSite Recon LLC may, in its sole discretion, engage in content moderation activities including but not limited to: reviewing flagged content, removing content that violates these Terms or the Acceptable Use Policy, and organizing content by address, business, or user. You acknowledge and agree that:

9.1 Discretionary Removal

In addition to the process described in Section 7.0.1, JobSite Recon LLC reserves the right to remove any rating independently found — through any means, including but not limited to a user's own public statements, correspondence, or information surfaced during a legal proceeding — not to reflect a good-faith numeric assessment consistent with the definitions in Section 4. This discretionary removal is separate from, and does not depend on, a report having been filed under Section 7.0. Use of this provision does not constitute an investigation, verification, adjudication, endorsement, or adoption of any rating by JobSite Recon LLC, and does not waive any protections under Section 230 of the Communications Decency Act or any other applicable law.

10. Disclaimer of Liability for Reputational and Economic Harm

Given the nature of the Platform as a rating site where contractors share anecdotal, numeric assessments of jobsite addresses and trade businesses, you acknowledge and agree that:

You agree to indemnify, defend, and hold harmless JobSite Recon LLC, its officers, directors, members, managers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Platform; (b) any User Content you post, submit, or make available through the Platform; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any claim by a third party that your User Content caused them harm, including but not limited to claims of defamation, invasion of privacy, or economic interference.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOBSITE RECON LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, INCOME, BUSINESS, GOODWILL, REPUTATION, OR DATA, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS; (C) ANY USER CONTENT POSTED ON THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL JOBSITE RECON LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO JOBSITE RECON LLC IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

13. Subscription and Payment Terms

JobSite Recon offers a Basic (free) plan with monthly usage limits and Premium subscription plans with enhanced access and features. By subscribing to a Premium plan, you agree to the following terms. For complete subscription details, please also review our Subscription Agreement.

13.1 Subscription Plans and Pricing

Premium subscriptions are available in 1-month, 6-month, and 12-month billing cycles. Current pricing is displayed on the Platform's upgrade page. We reserve the right to change subscription pricing at any time; however, price changes will not affect your current billing cycle. You will be notified of price changes before your next renewal.

13.2 Automatic Renewal

All Premium subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize JobSite Recon to charge the payment method on file for each renewal period at the then-current subscription rate. You will receive a reminder email before each renewal. It is your responsibility to ensure your payment information is current.

13.3 Billing and Payment

Payment processing for subscriptions purchased on the web is handled by Stripe, Inc. Your use of payment services is subject to Stripe's terms of service. Subscriptions purchased through our iOS or Android mobile app are processed as in-app purchases through the Apple App Store or Google Play and are managed using RevenueCat, Inc.; those purchases are also subject to the applicable app store's terms and billing practices. JobSite Recon does not store your credit card or banking information directly. You agree to provide accurate, complete, and current billing information. If your payment method is declined, your subscription may be suspended until a valid payment method is provided.

13.4 Cancellation Policy

You may cancel your Premium subscription at any time. Subscriptions purchased on the web can be cancelled through the Stripe customer portal accessible from your account settings. Subscriptions purchased as in-app purchases on iOS or Android must be cancelled through your Apple App Store or Google Play account settings, in accordance with the applicable app store's policies. Upon cancellation:

JobSite Recon may offer promotional codes that provide either free Premium access for a specified number of days or a percentage discount on subscription fees. Promotional codes are subject to the following terms:

JobSite Recon offers a referral program that allows registered users to invite others to the Platform. The referral program operates as follows:

13.8 Recon Points

JobSite Recon offers a rewards feature called "Recon Points." You earn one (1) Recon Point for each qualifying rating you post on the Platform. Accumulated Recon Points may be redeemed for free Premium access, as described on the Platform. Recon Points have no cash value, cannot be sold, traded, transferred, or exchanged for cash, and are valid only for use within the Platform. JobSite Recon reserves the right to adjust the earning rate, redemption value, or availability of Recon Points, and to revoke points earned through fraudulent, fake, or manipulated ratings, at its sole discretion and without prior notice.

14. Address and Business Profiles

The Platform generates profile pages for individual addresses and businesses that aggregate all user-submitted ratings for that address or business. Ratings are displayed individually, most recent first. The Platform does not calculate or display an averaged or aggregate score for any address or business. You acknowledge and agree that:

The Platform provides registered users with the ability to export their account data, including ratings, messages, and other account history, in JSON format. Data export is provided as a convenience and may not include all data retained by JobSite Recon LLC (such as internal logs, moderation records, or billing data maintained by third-party processors). The availability and format of the data export feature may change without notice.

16. Profile Content and Customization

Users may customize their profiles by adding a biography (up to 250 characters) and selecting a profile banner from available options. All profile content, including biographies, is subject to content moderation and must comply with these Terms and the Acceptable Use Policy. JobSite Recon reserves the right to remove or modify any profile content that violates Platform policies. Profile content is publicly visible to other users of the Platform.

17. Intellectual Property

The Platform, including its design, graphics, logos, trademarks, and software, is the property of JobSite Recon LLC and is protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based on the Platform without our prior written consent. By posting User Content, you grant JobSite Recon LLC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, display, reproduce, and distribute your User Content in connection with the operation of the Platform.

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to indemnification, limitation of liability, disclaimers, and dispute resolution provisions.

20. Governing Law, Venue, and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under or in connection with these Terms shall be brought exclusively in the state or federal courts located in Nassau County, New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

21. Dispute Resolution and Arbitration

Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"), conducted in Nassau County, New York. Judgment on the arbitration award may be entered in any court of competent jurisdiction. You waive any right to a jury trial and agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. YOU AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

22. Anti-SLAPP Protections

User Content posted on the Platform may constitute protected speech on matters of public concern, including statements about service experiences and commercial transactions. To the extent permitted by applicable law, JobSite Recon LLC and its users reserve all rights and protections available under anti-SLAPP (Strategic Lawsuits Against Public Participation) statutes, including but not limited to New York Civil Rights Law §§ 70-a and 76-a, and any equivalent federal or state laws. Any party who brings a frivolous lawsuit intended to suppress protected speech on this Platform may be subject to sanctions, attorneys' fees, and costs as provided by applicable anti-SLAPP laws.

23. Assumption of Risk

By using the Platform, you expressly acknowledge and assume the following risks:

24. Waiver of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY WAIVE ANY AND ALL CLAIMS AGAINST JOBSITE RECON LLC FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM OR RELATED TO USER CONTENT POSTED ON THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST BUSINESS, REPUTATIONAL HARM, DIMINISHED PROPERTY VALUE, EMOTIONAL DISTRESS, OR ANY OTHER ECONOMIC OR NON-ECONOMIC LOSS. THIS WAIVER APPLIES REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER JOBSITE RECON LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

25. No Agency or Partnership

Nothing in these Terms, and no use of the Platform, creates or is intended to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between JobSite Recon LLC and any user. Users are independent individuals acting solely on their own behalf. JobSite Recon LLC does not direct, control, supervise, or instruct users regarding what content to post or what score to submit. No user is authorized to act on behalf of, bind, or make representations for JobSite Recon LLC.

26. Force Majeure

JobSite Recon LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, cyberattacks, or third-party service provider failures.

27. Notices and Communications

Any legal notices to JobSite Recon LLC must be sent to support@jobsiterecon.com. Notices sent by any other means (including but not limited to social media, telephone, or physical mail to an address not designated by JobSite Recon LLC) shall not constitute valid legal notice. JobSite Recon LLC may provide notices to you via the email address associated with your account, and such notices shall be deemed received upon sending.

28. Waiver

The failure of JobSite Recon LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by JobSite Recon LLC.

29. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The invalidity of any provision shall not affect the validity of any other provision.

30. Entire Agreement

These Terms, together with our Privacy Policy, Subscription Agreement, Acceptable Use Policy, Premium Direct Messaging Terms, and DMCA Policy, constitute the entire agreement between you and JobSite Recon LLC regarding the use of the Platform and supersede any prior agreements, understandings, or representations, whether written or oral. No oral or written statement by any representative of JobSite Recon LLC shall create any obligation or modify these Terms unless set forth in a written amendment signed by an authorized representative of JobSite Recon LLC.

31. Free Tools and Calculators

From time to time, the Platform may offer free informational tools, calculators, or estimators (for example, "The Bad Job Calculator"). Any figures, scores, or results produced by such tools are provided for general informational, illustrative, and entertainment purposes only. They are based on simplified assumptions and the inputs you choose to provide, do not reflect your actual costs, losses, profits, or financial results, and do not constitute accounting, financial, legal, tax, or other professional advice. JobSite Recon LLC makes no representation or warranty as to the accuracy, completeness, or reliability of any such output, and you agree not to rely on it as a substitute for professional judgment or advice. Your use of these tools is voluntary and at your own risk and remains subject to these Terms, including the disclaimers and limitations of liability set forth above.

32. Merchandise Store

The Platform may offer branded merchandise for sale through an online store. Checkout and payment processing for merchandise are handled by our third-party e-commerce provider, Shopify, Inc., and any purchase you make is subject to Shopify's terms and policies in addition to these Terms. Prices, product descriptions, and availability may change at any time without notice. JobSite Recon LLC is not responsible for the manufacture, shipping, delivery, or condition of merchandise; questions about an order should be directed to us at support@jobsiterecon.com. Merchandise purchases are separate from, and not part of, any Premium subscription, and are governed by the merchandise store's own return and refund practices rather than the subscription refund terms set forth above.

33. The Yard Marketplace

The Platform offers a classifieds-style marketplace feature called "The Yard," where eligible members may post listings to sell or give away surplus construction materials, tools, equipment, and similar trade-related items to other members. By posting or responding to a listing, you agree to the following:

Access to The Yard, including viewing full listings, posting listings, and contacting sellers, may be limited to Premium subscribers, and the scope of access may change at any time.

By creating an account on JobSite Recon, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. You further acknowledge that: (1) all ratings posted on the Platform are the sole, anecdotal opinion of individual users describing jobsite conditions or working relationships — not about specific homeowners or individuals; (2) ratings are not endorsed, verified, or adopted by JobSite Recon LLC; (3) JobSite Recon LLC has no involvement in the creation, substance, or accuracy of any individual rating; (4) each user is solely and exclusively responsible for the content of their own ratings and any resulting legal liability; and (5) JobSite Recon LLC is not responsible for any reputational, economic, or other harm arising from User Content posted by third parties, in accordance with Section 230 of the Communications Decency Act (47 U.S.C. § 230).
